Terms of Service

These Terms of Service ("Terms") govern your use of TalaGuard Desktop ("the Service"), operated by M.D. Centeno ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

TalaGuard Desktop is a SaaS AI-powered call center assistant that provides on-demand AI suggestions, policy lookup, and automated call note generation for call center agents and their supervisors. The Service is provided as a subscription, billed per seat.

2. Account Registration

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

One admin account is created per workspace. The admin is responsible for managing their team's access and ensuring compliance with these Terms.

3. Subscription and Billing

The Service is offered on a paid subscription basis, billed per seat:

Annual plans are available at a discounted rate equivalent to 2 months free. All billing is processed by Paddle, our Merchant of Record. By subscribing, you also agree to Paddle's Terms of Service.

Free trial: All new workspaces receive a 14-day free trial. No credit card is required to start. At the end of the trial, you must subscribe to continue using the Service.

4. Refund Policy

We offer a 7-day money-back guarantee from the date of your first paid payment. If you are not satisfied, contact us at support@talaguard.pro within 7 days of your first charge for a full refund. After this period, all charges are final and non-refundable. You may cancel your subscription at any time — cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to use the Service to:

Important: You are solely responsible for ensuring your use of call recording and transcription features complies with the laws of your jurisdiction (e.g., two-party consent laws). We provide a tool; compliance is your responsibility.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein, including the processing of call transcripts via the Anthropic API for AI features.

7. Data Retention and Purging

Call logs, meeting transcripts, and related records are retained for a period based on your subscription plan:

Records that exceed your plan's retention window are permanently deleted. We will send an automated email notification to your workspace admin at least 30 days before any scheduled purge. You may export your data at any time from the web dashboard before the purge date. Upgrading your plan extends the retention window for all future records.

8. Intellectual Property

The Service, including its software, design, and content, is owned by M.D. Centeno and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

Your data (call logs, transcripts, notes, knowledge base content) remains yours. We do not claim ownership of your content.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Service is provided "as is" without warranties of any kind. AI-generated content (suggestions, call notes) is provided for assistance only — you are responsible for verifying accuracy before use in any official capacity.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to: errors in AI-generated content, loss of data, or business interruption.

Our total liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Termination

You may cancel your subscription at any time through the billing portal. We may suspend or terminate your account if you breach these Terms, fail to pay, or engage in harmful conduct. Upon termination, your access to the Service ends at the conclusion of the paid period. We will retain your data for 30 days after termination, after which it may be deleted.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration.
